4. Payments & Billing

4.1. Payment Terms

Payments must be made according to the pricing and schedule outlined in your proposal, contract, or invoice.

4.2. Late Payments

Late or overdue invoices may result in:

  • Service interruption

  • Additional fees or interest charges

  • Delay in deliverables

4.3. No Refunds

Payments for digital services, consulting, or project work are non-refundable unless otherwise agreed in writing.
Retainer fees and monthly service fees are also non-refundable once the service period begins.

5. Client Responsibilities

To ensure successful project delivery, the client agrees to:

  • Provide accurate information and timely feedback

  • Deliver necessary materials (content, images, credentials, etc.)

  • Grant access to systems required for the project (websites, analytics, ads, CRM, etc.)

  • Respect agreed timelines

DigitInfraLabs is not responsible for delays caused by the client.

6. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Proprietary business information

  • Marketing strategies

  • Credentials, data, and private communications

  • Project materials not intended for public release

We do not share or sell client data to third parties except as required to deliver services or comply with legal obligations.

7. Intellectual Property

7.1. Ownership

Unless stated otherwise in writing:

  • All materials, strategies, designs, and content created by DigitInfraLabs remain our intellectual property until full payment is received.

  • Upon full payment, clients receive a license to use the work for their business.

7.2. Restrictions

Clients may not:

  • Resell our work

  • Claim authorship

  • Use our materials in illegal or unethical activities

8. Marketing Use & Portfolio Rights

DigitInfraLabs may showcase non-sensitive project results, designs, or case studies in our portfolio, advertisements, or marketing materials unless the client requests confidentiality in writing.

9. Third-Party Tools & Platforms

Many services require integration with third-party platforms, such as:

  • Google Ads / Meta Ads

  • Analytics tools

  • Hosting providers

  • CRM systems

DigitInfraLabs is not responsible for:

  • Outages or issues caused by third-party systems

  • Changes in external platform policies

  • Account suspensions initiated by those platforms

Clients must comply with third-party terms of service.

10. Limitation of Liability

DigitInfraLabs is not liable for:

  • Loss of revenue

  • Loss of data

  • Business disruptions

  • Ad platform suspensions

  • Client-side technical issues

  • Delays caused by third parties

Our total liability shall never exceed the amount paid by the client for the services during the previous 30 days.

11. No Performance Guarantees

While we aim to deliver exceptional results, we do not guarantee:

  • Specific rankings

  • Specific revenue outcomes

  • Exact ad performance metrics

  • Exact follower growth

Results may vary due to market conditions, competition, algorithms, and external factors.

12. Termination

Either party may terminate the agreement with written notice (according to contract terms).
Upon termination:

  • Client must pay for all work completed up to that date

  • Access to systems or deliverables may be revoked if payments are outstanding

Monthly service fees already paid are non-refundable.

13. Governing Law

These Terms are governed by the laws of [Insert Country/Region].
Any disputes will be handled through arbitration or courts in [Insert Location].

14. Changes to Terms

DigitInfraLabs reserves the right to update or modify these Terms at any time.
